Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and CheapLLM (“Company,” “we,” “us,” or “our”), operated via www.cheapllm.net.

By accessing or using the CheapLLM platform, creating an account, or subscribing to any plan, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case “you” shall refer to such entity.

• —“Service” means the CheapLLM platform, including all associated APIs, interfaces, tools, and features available through www.cheapllm.net.
• —“Third-Party Providers” means the external artificial intelligence model providers and infrastructure services whose capabilities are accessed through the Service.
• —“User Content” means any prompts, inputs, data, or materials submitted by you to the Service.
• —“Output” means any content, text, or results generated through the Service in response to User Content.
• —“Subscription” means the recurring payment plan under which you access the Service.
• —“Platform Technology” means CheapLLM's proprietary routing, optimization, and delivery infrastructure.

3.1 Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding agreements in your jurisdiction. By using the Service, you represent and warrant that you meet these requirements.

3.2 Account Registration

To access the Service, you must create an account and provide accurate, current, and complete information. You agree to:

• —Promptly update your account information to keep it accurate and current.
• —Accept responsibility for all activities that occur under your account.
• —Notify us immediately of any unauthorized use of your account.

3.3 Account Security

CheapLLM is not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

4.1 Service Overview

CheapLLM provides an AI-powered platform that enables users to access large language model capabilities at reduced costs. The Service utilizes proprietary optimization technology and third-party AI provider infrastructure to deliver AI-generated outputs.

4.2 Third-Party Infrastructure Dependency

The Service relies on third-party AI providers for core functionality. The availability, pricing, capabilities, and terms of these third-party services are beyond CheapLLM's control. You acknowledge and agree that:

• —The Service is dependent on the continued availability and operation of third-party provider APIs, infrastructure, and services.
• —Changes to third-party provider terms, pricing structures, technical specifications, or service availability may directly impact the functionality, performance, or availability of the Service.
• —CheapLLM does not guarantee that any specific AI model, capability, or feature will remain available through the Service.

4.3 Service Modifications

CheapLLM reserves the right to modify, update, or enhance the Service at any time to improve performance, add features, or adapt to changes in third-party provider offerings. We will provide reasonable notice of material changes where practicable.

5.1 Free Trial

CheapLLM offers a 14-day free trial period. A valid credit card or PayPal account is required to initiate the free trial. You will not be charged during the trial period unless you exceed any applicable usage limits.

5.2 Subscription Fees

Following the trial period, the Service is available at $9.00 USD per month (or as otherwise specified at the time of subscription). Subscriptions are billed monthly in advance and renew automatically unless cancelled.

5.3 Price Changes

CheapLLM reserves the right to adjust pricing with at least 30 days' prior written notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing. If you do not agree to a price change, you may cancel your Subscription before the new pricing takes effect.

5.4 Payment & Taxes

All fees are exclusive of applicable taxes, which are your responsibility. Payment is processed through our third-party payment processor. By providing payment information, you authorize recurring charges to your payment method.

5.5 Cancellation

You may cancel your Subscription at any time through your account settings. Upon cancellation, you will retain access to the Service until the end of your current billing period. No refunds are issued for partial billing periods unless otherwise required by applicable law.

6.1 Service Availability

The Service is provided on an “as is” and “as available” basis. CheapLLM uses commercially reasonable efforts to maintain high availability but does not guarantee uninterrupted, timely, secure, or error-free operation of the Service.

6.2 Planned Maintenance

CheapLLM may perform scheduled maintenance that may temporarily affect Service availability. We will endeavor to provide advance notice of planned maintenance windows.

6.3 Suspension & Discontinuation

CheapLLM reserves the right to suspend or discontinue the Service (in whole or in part), temporarily or permanently, at any time and for any reason, including but not limited to:

• —Changes in, or discontinuation of, third-party provider services, APIs, or infrastructure upon which the Service depends.
• —Changes in third-party provider terms, pricing, or technical requirements that render the Service commercially unviable or technically infeasible.
• —Regulatory or legal requirements.
• —Business, operational, or strategic considerations.

In the event of a permanent discontinuation, CheapLLM will use commercially reasonable efforts to provide at least 30 days' prior notice where feasible. However, where discontinuation is caused by immediate or unforeseen changes in third-party provider services, shorter notice or no advance notice may be given.

6.4 Effect of Discontinuation

Upon discontinuation of the Service:

• —Users will receive a pro-rated refund for the unused portion of their current billing period only, calculated from the date of discontinuation.
• —No refunds, credits, or compensation shall be issued for any prior billing periods.
• —CheapLLM shall have no further financial obligation to Users beyond the pro-rated refund described above.
• —Users will be given a reasonable opportunity to export any accessible data from their accounts, where technically feasible.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• —Use the Service to generate, distribute, or store content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
• —Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code, architecture, or proprietary methods of the Platform Technology.
• —Resell, sublicense, or redistribute access to the Service without prior written authorization from CheapLLM.
• —Interfere with or disrupt the integrity, performance, or security of the Service or its underlying infrastructure.
• —Use the Service to send spam, bulk communications, or unsolicited messages.
• —Exceed any applicable usage limits, rate limits, or fair use policies.
• —Use automated tools, scripts, or bots to access the Service in a manner not expressly authorized.
• —Violate any applicable local, national, or international law or regulation.

CheapLLM reserves the right to suspend or terminate access for any User who violates this Acceptable Use Policy, without prior notice and without refund.

8.1 CheapLLM Property

All rights, title, and interest in and to the Service, including the Platform Technology, user interface, design, branding, documentation, and all related intellectual property, are and shall remain the exclusive property of CheapLLM. Nothing in these Terms grants you any right or license to use CheapLLM's intellectual property except as expressly set forth herein.

8.2 User Content

You retain all rights in your User Content. By submitting User Content to the Service, you grant CheapLLM a limited, non-exclusive, worldwide license to process, transmit, and store your User Content solely for the purpose of providing the Service. This license terminates upon deletion of your account.

8.3 Output Ownership

Ownership and usage rights of Output are subject to the terms and conditions of the underlying third-party AI providers. CheapLLM does not claim ownership of Output generated through the Service. You are responsible for ensuring that your use of Output complies with applicable third-party provider terms.

9.1 Data Handling

CheapLLM processes User Content solely for the purpose of delivering the Service. User Content is transmitted to third-party providers for processing and is handled in accordance with both our Privacy Policy and the applicable third-party provider's privacy and data handling policies.

9.2 Data Retention

CheapLLM retains User Content and Output only for the duration necessary to deliver the Service and comply with applicable legal obligations. Detailed information regarding data retention practices is available in our Privacy Policy.

9.3 Privacy Policy

Our collection, use, and disclosure of personal information is governed by our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

9.4 GDPR Compliance

For Users located in the European Economic Area (EEA), the United Kingdom, or Switzerland, CheapLLM processes personal data in accordance with the General Data Protection Regulation (GDPR) and applicable local data protection legislation. A Data Processing Agreement (DPA) is available upon request for enterprise and business Users.

10.1 Service Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

10.2 Third-Party Disclaimer

CheapLLM does not warrant the accuracy, completeness, reliability, or suitability of any Output generated through the Service. Outputs are generated by third-party AI models and may contain errors, inaccuracies, or biases. Users are solely responsible for evaluating and validating any Output before reliance or use.

10.3 No Professional Advice

The Service does not provide legal, financial, medical, or any other form of professional advice. Any Output generated through the Service should not be relied upon as a substitute for professional consultation.

11.1 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHEAPLLM, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY.

11.2 Maximum Liability

CheapLLM's total aggregate liability for any claims arising under or related to these Terms shall not exceed the total amount paid by you to CheapLLM during the three (3) months immediately preceding the event giving rise to the claim.

11.3 Exceptions

Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be limited or excluded under applicable law, including mandatory consumer protection provisions under EU/EEA law.

You agree to indemnify, defend, and hold harmless CheapLLM, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• —Your use of the Service in violation of these Terms.
• —Your User Content or your use of any Output.
• —Your violation of any applicable law, regulation, or third-party rights.
• —Any unauthorized use of your account.

13.1 Termination by User

You may terminate your account at any time by cancelling your Subscription through your account settings. Termination takes effect at the end of the current billing period.

13.2 Termination by CheapLLM

CheapLLM may suspend or terminate your account immediately, with or without notice, for:

• —Violation of these Terms or the Acceptable Use Policy.
• —Fraudulent, abusive, or unlawful activity.
• —Non-payment of fees.
• —Any reason related to the discontinuation of the Service as described in Section 6.

13.3 Effect of Termination

Upon termination, your right to access and use the Service ceases immediately. CheapLLM may delete your account data within 30 days of termination unless retention is required by law. Sections 8, 10, 11, 12, 14, and 15 shall survive termination.

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malta, without regard to conflict of law principles.

14.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms shall first be submitted to good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days, either party may submit the dispute to the exclusive jurisdiction of the courts of Malta.

14.3 EU Consumer Rights

If you are a consumer in the European Economic Area, you may also have the right to submit a dispute to the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/odr. Nothing in these Terms affects your statutory consumer rights under applicable EU or national law.

15.1 Amendments

CheapLLM reserves the right to modify these Terms at any time. Material changes will be communicated via email or through the Service with at least 14 days' prior notice. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree, you must discontinue use and cancel your Subscription.

15.2 Entire Agreement

These Terms, together with the Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between you and CheapLLM and supersede all prior or contemporaneous agreements, understandings, or representations.

15.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.4 No Waiver

The failure of CheapLLM to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without CheapLLM's prior written consent. CheapLLM may assign these Terms without restriction.

15.6 Force Majeure

CheapLLM shall not be liable for any failure or delay in performing its obligations under these Terms caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemic, government actions, third-party service disruptions, internet failures, or changes in third-party provider terms or availability.
